Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ConstantLife mobile app, watch app, websites, APIs, beta releases, and related services (collectively, the “Service”). The Service is provided by Computer Biology Labs (“ConstantLife,” “we,” “us,” or “our”).

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ConstantLife is an AI memory and persona platform. It may let you create or interact with AI companions or personas, speak with them by voice, upload memories or files to a Vault, generate voice or avatar experiences, review AI-generated summaries, use device actions, connect third-party accounts, and share or manage access to personas.

The Service may include beta, experimental, pre-release, or TestFlight features. Beta features may be incomplete, unstable, unavailable, changed, or removed at any time.

2. Eligibility

You must be at least 18 years old to create an account or use the Service, unless we expressly approve another arrangement in writing. You must be able to form a binding contract and comply with these Terms and all applicable laws.

The Service is not intended for children and is not directed to children.

3. Accounts

You are responsible for your account, credentials, devices, and all activity under your account. Keep your login credentials secure and notify us promptly if you believe your account has been compromised.

You agree to provide accurate account information and keep it current. We may suspend or terminate accounts that violate these Terms, create risk, or are used to abuse the Service.

4. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect information. By using the Service, you acknowledge the Privacy Policy.

5. Your Content

“User Content” means content you submit, upload, record, create, generate, store, transmit, or make available through the Service, including audio, speech, transcripts, photos, videos, documents, messages, diary entries, facts, prompts, persona materials, voice samples, avatar source media, knowledge files, and related metadata.

You retain ownership of your User Content, subject to the rights granted below. You grant ConstantLife a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, perform, modify, create derivative works from, and otherwise use your User Content as needed to operate, secure, support, improve, and provide the Service, including AI, transcription, voice, avatar, memory, sharing, and moderation features.

You represent and warrant that:

• You own or have all rights, licenses, permissions, and consents needed to submit and use your User Content with the Service.
• Your User Content and use of the Service do not violate privacy, publicity, intellectual property, recording, wiretapping, biometric, consumer protection, or other laws.
• If your User Content includes another person's voice, likeness, image, biometric information, personal history, private documents, contact information, health information, or other sensitive information, you have obtained all required rights and consents.

6. Voice, Likeness, and Persona Rules

ConstantLife may support voice cloning, avatar generation, historical or public personas, and personal AI personas. These features can be powerful and sensitive. You may not use the Service to:

• Clone, imitate, or recreate a living person's voice, image, likeness, identity, or persona without appropriate authorization.
• Mislead others into believing AI-generated content is an authentic statement, recording, or endorsement by a real person.
• Create defamatory, exploitative, harassing, hateful, sexually explicit, fraudulent, impersonating, or unlawful content.
• Create or use personas in a way that violates another person's privacy, publicity rights, intellectual property rights, or dignity.
• Upload private materials about others without lawful authority and consent.

We may remove content, disable generated media, restrict sharing, or suspend accounts if we believe these rules are violated.

7. Sharing, Collaboration, and Legacy Trustee Features

The Service may let you share persona links, invite collaborators, assign roles, approve pending uploads, transfer ownership, or designate a legacy trustee. You are responsible for the people you invite and the access you grant.

Different roles may have different permissions, such as viewing, contributing, administering, approving, or managing persona content. If you designate a legacy trustee, you understand that trustee workflows may allow access changes or ownership transfer under the conditions shown in the app.

We are not responsible for actions taken by collaborators, trustees, recipients, or other people you choose to involve.

8. Acceptable Use

You may not use the Service to:

• Violate any law or regulation.
• Record, monitor, or surveil people without legally required consent.
• Infringe intellectual property, privacy, publicity, or other rights.
• Harass, threaten, abuse, exploit, defame, impersonate, or deceive others.
• Upload malware, attempt unauthorized access, scrape, overload, reverse engineer, or interfere with the Service.
• Use the Service for weapons, violence, self-harm encouragement, sexual exploitation, child exploitation, human trafficking, illegal drugs, fraud, or other unlawful or harmful activity.
• Use AI outputs as a substitute for professional medical, legal, financial, safety, or emergency advice.
• Circumvent rate limits, security controls, access controls, or content restrictions.

We may investigate and take action against suspected violations, including removing content, disabling features, suspending accounts, or reporting to appropriate authorities.

9. AI Outputs and No Professional Advice

AI outputs may be inaccurate, incomplete, outdated, offensive, or inappropriate. You are responsible for reviewing and verifying outputs before relying on them or sharing them.

ConstantLife is not a medical device, therapist, lawyer, financial adviser, emergency service, or safety monitoring service. Health readings, safety check-ins, location features, reminders, summaries, and AI suggestions are informational and convenience features only. In an emergency, call emergency services.

10. Device Permissions and Connected Services

The Service may request access to device features such as microphone, speech recognition, camera, photos, contacts, location, HealthKit, reminders, music, notifications, and Face ID. You can revoke permissions in device settings, but some features may stop working.

If you connect third-party services, such as email, calendar, file storage, messaging, transcription, voice, avatar, or AI services, your use of those services may also be governed by their terms and privacy policies. We are not responsible for third-party services.

11. Fees and Purchases

Some features may require payment, subscription, credits, or usage limits. If paid features are offered through Apple's App Store, purchases are handled by Apple and may be subject to Apple's terms. Unless otherwise stated, fees are non-refundable except as required by law or by the applicable app store rules.

We may change pricing, limits, or feature availability prospectively.

12. Our Rights

The Service, software, design, trademarks, logos, models, systems, documentation, and other materials we provide are owned by us or our licensors and are protected by intellectual property laws. These Terms do not grant you any ownership in the Service.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create competing products from the Service except where allowed by law.

If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation.

13. App Store Terms

If you download the app through Apple's App Store or test it through TestFlight, Apple's terms also apply. Apple is not responsible for the Service, maintenance, support, warranties, claims, or content. To the extent required by Apple's terms, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If there is a conflict between these Terms and Apple's required app terms, Apple's required terms apply only to the extent of the conflict.

14. Suspension and Termination

You may stop using the Service at any time. You may request account deletion by contacting admin@computerbiologylabs.com.

We may suspend, restrict, or terminate your access to the Service if we believe you violated these Terms, created legal or security risk, caused harm, or if we discontinue the Service.

After termination, some provisions will survive, including sections about your content license for processing already performed, our rights, disclaimers, limitations of liability, indemnity, disputes, and any provisions that by their nature should survive.

15. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Service will be uninterrupted, secure, accurate, error-free, available, or that content will be preserved without loss. Beta features may fail or change without notice.

16. Limitation of Liability

To the maximum extent permitted by law, ConstantLife and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost content, business interruption, personal injury, emotional distress, or reputational harm arising from or related to the Service.

To the maximum extent permitted by law, our total liability for any claim arising from or related to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the claim or (b) USD $100.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

17. Indemnity

You agree to indemnify and hold harmless ConstantLife and its affiliates, officers, employees, contractors, licensors, and service providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your User Content, your use of the Service, your violation of these Terms, or your violation of another person's rights or applicable law.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law rules. You and ConstantLife agree to the exclusive jurisdiction and venue of the state and federal courts located in Broward County, Florida, except where applicable law requires otherwise.

19. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service, by email, or by other appropriate means. Continued use of the Service after changes become effective means you accept the updated Terms.
